Terms and Condition Blockchain

These Terms and Conditions ("Terms") govern the access and use of the open-source blockchain platform developed by LayerK Group LTD ("LayerK", "We", "Our", "Us"), a company registered under the laws of the British Virgin Islands. By using the blockchain platform (the "LayerK Chain") and its associated services (“Services”), you ("User", "you", "your") agree to comply with these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the LayerK Chain.

LayerK Chain is build on Arbitrum Nitro, a layer-two optimistic rollup on the Ethereum public blockchain. While we do not control LayerK Chain, these Terms constitute a legally binding contract made between you and LayerK that governs your access to and use of the LayerK Chain.

  1. ACCEPTANCE OF TERMS

1.1 By accessing or using the LayerK Chain, you agree to be bound by these Terms.

1.2 If you do not agree with any part of these Terms, you must cease use of the LayerK Chain immediately.

  1. DEFINITIONS

2.1 "License" refers to the terms and conditions for use, reproduction, and distribution as defined in this document.

2.2 "Licensor" means LayerK, the copyright owner or entity authorized by the copyright owner that is granting the License.

2.3 "Work" refers to the blockchain technology and software developed by LayerK, made available under the License, including its Source and Object forms.

2.4 "Source" form refers to the preferred form for making modifications, including but not limited to software source code, documentation source, and configuration files.

2.5 "Object" form refers to any form resulting from mechanical transformation or translation of a Source form, including but not limited to compiled object code, generated documentation, and conversions to other media types.

2.6 "Derivative Works" means any work, whether in Source or Object form, that is based on or derived from the Work.

2.7 "Contributor" refers to Licensor and any individual or legal entity that makes contributions to the Work.

2.8 "LayerK Chain" refers to the blockchain infrastructure provided by LayerK and its associated services, applications, and protocols.

  1. GRANT OF COPYRIGHT LICENSE

Subject to the terms of this License, each Contributor grants you a perpetual, worldwide, non-exclusive, royalty-free, and irrevocable license to reproduce, prepare Derivative Works, publicly display, sublicense, and distribute the Work and such Derivative Works in Source or Object form.

  1. GRANT OF PATENT LICENSE

4.1 Subject to these Terms, each Contributor grants you a perpetual, worldwide, non-exclusive, royalty-free, and irrevocable patent license to make, use, sell, import, and otherwise transfer the Work.

4.2 If you institute patent litigation against any entity claiming that the Work infringes a patent, any patent licenses granted to you under these Terms shall terminate as of the date such litigation is filed.

  1. REDISTRIBUTION

5.1 You may reproduce and distribute copies of the Work or Derivative Works thereof, in any medium and with or without modifications, provided you meet the following conditions:

  • (a) You provide any recipients of the Work with a copy of these Terms.

  • (b) You clearly state any modifications made to the original Work.

  • (c) You retain all copyright, patent, trademark, and attribution notices from the Source form of the Work.

  • (d) If the Work includes a "NOTICE" text file, any Derivative Works must include the same attribution notices in an appropriate location within the distribution.

  1. ROLE OF LAYERK

6.1 LayerK developed the blockchain technology for the LayerK Chain but is not responsible for applications, smart contracts, or other implementations created by third parties on the LayerK Chain.

6.2 LayerK does not control or block transactions or content on the blockchain and assumes no liability for the actions of independent developers, users, or other contributors using the Platform.

  1. ACCESSING THE SERVICES

7.1 To access the Services, you must connect a compatible cryptocurrency wallet software (“Wallet”). Your relationship with any given Wallet provider is governed by the applicable terms of that Wallet provider, not these Terms. You are responsible for maintaining the confidentiality of any private key controlled by your Wallet and are fully responsible for any and all messages or conduct signed with your private key. We accept no responsibility or liability to you in connection with your use of a Wallet, and make no representations and warranties regarding how the Services will operate or be compatible with any specific Wallet. We reserve the right, in our sole discretion, to prohibit certain Wallet addresses from being able to use or engage in transactions via the LayerK Chain or from using other aspects of the Services.

  1. TRANSACTION AND ASSET VALIDATION

8.1 Transactions and asset validation on the blockchain are managed by decentralized nodes (validators). LayerK does not control or influence these validators.

8.2 Users can verify and monitor transactions and activity via the blockchain explorer provided at https://explorer.layerk.com/.

  1. ACCEPTABLE USE

9.1 You agree that you will not use the Services in any manner or for any purpose other than as expressly permitted by these Terms. That means, among other things, you will not use the Services to do or encourage any of the following:

  • 9.1.1. Infringe or violate the intellectual property rights or any other rights of anyone else (including LayerK) or attempt to decompile, disassemble, or reverse engineer the Services;

  • 9.1.2. Violate any applicable law or regulation, including without limitation, any applicable anti-money laundering laws, anti-terrorism laws, export control laws, end user restrictions, privacy laws or economic sanctions laws/regulations, including those administered by the Office of Foreign Assets Control (OFAC) and the Financial Action Task Force (FATF);

  • 9.1.3. Use the Services in a way that is dangerous, harmful, fraudulent, misleading, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable;

  • 9.1.4. Violate, compromise, or interfere with the security, integrity, or availability of any computer, network, or technology associated with the Services, including using the Services in a manner that constitutes excessive or abusive usage, attempts to disrupt, attack, or interfere with other users, or otherwise impacts the stability of the Services.

  • 9.1.5 Use any LayerK brands, logos, or trademarks (or any brands, logos, or trademarks that are confusingly similar) without our express prior written approval, which we may withhold at our discretion for any reason.

  1. RELEASE AND ASSUMPTION OF RISK

10.1.1 By using the Services, you represent that you understand there are risks inherent in using cryptographic and public blockchain-based systems, including, but not limited, to the Services and digital assets. You expressly agree that you assume all risks in connection with your access and use of LayerK Chain and the separate Services offered by LayerK. That means, among other things, you understand and acknowledge that:

  • 10.1.1. The LayerK Chain and the separate Services may be subject to cyberattacks and exploits, which could result in the irrevocable loss or reduction in value of your digital assets or in additional copies of your digital assets being created or bridged without your consent.

  • 10.1.2 LayerK Chain is subject to periodic upgrades. A protocol upgrade may be approved that, if implemented, may significantly impacts LayerK Chain, and may introduce other risks, bugs, malfunctions, cyberattack vectors, or other changes to LayerK Chain that could disrupt its operation or of the Services or otherwise cause you damage or loss.

  • 10.1.3 If you lose your Wallet seed phrase, private keys, or password, you might permanently be unable to access your digital assets. You bear sole responsibility for safeguarding and ensuring the security of your Wallet.

10.2 You further expressly waive and release LayerK, its parents, affiliates, related companies, their officers, directors, members, employees, consultants, representatives. agents, partners, licensors, and each of their respective successors and assigns (collectively, the “LayerK Entities”) from any and all liability, claims, causes of action, or damages arising from or in any way related to your use of the Services, and your interaction with LayerK Chain.

  1. INTERACTIONS WITH OTHER USERS

You are responsible for your interactions with other users on or through the LayerK Chain and the Services. While we reserve the right to monitor interactions between users, we are not obligated to do so, and we cannot be held liable for your interactions with other users, or for any user’s actions or inactions. If you have a dispute with one or more users, you release us (and our affiliates and subsidiaries, and our and their respective officers, directors, employees and agents) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

  1. THIRD-PARTY SERVICES

The Services may provide access to services, sites, technology, applications and resources that are provided or otherwise made available by third parties (“Third-Party Services”). Your access and use of Third-Party Services may also be subject to additional terms and conditions, privacy policies, or other agreements with such third parties. LayerK has no control over and is not responsible for such Third-Party Services, including for the accuracy, availability, reliability, or completeness of information or content shared by or available through Third-Party Services, or on the privacy practices of Third-Party Services. We encourage you to review the privacy policies of Third-Party Services prior to using such services. You, and not LayerK, will be responsible for any and all costs and charges associated with your use of any Third-Party Services. The integration or inclusion of such Third-Party Services does not imply an endorsement or recommendation. Any dealings you have with third parties while using the Services — including if a Third-Party Service may have infringed your intellectual property rights — are between you and the third party. LayerK will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third-Party Services.

  1. DISCLAIMER OF WARRANTY

13.1. To the maximum extent permitted by applicable law, the LayerK Chain and the Services are provided on an “as is” and “as available” basis without any representation or warranty, whether express, implied or statutory.

13.2. To the maximum extent permitted by applicable law, LayerK specifically disclaims any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement.

13.3. The LayerK Entities do not make any representations or warranties that (i) access to the LayerK Chain or the Services will be continuous, uninterrupted, or timely; (ii) the LayerK Chain and the Services will be compatible or work with any software, system or other services, including any wallets; (iii) the LayerK Chain and the Services will be secure, complete, free of harmful code, or error-free; (iv) the LayerK Chain and the Services will prevent any unauthorized access to, alteration of, or the deletion, destruction, damage, loss or failure to store any of your content or other data; or (v) that the LayerK Chain and the Services will protect your assets from theft, hacking, cyber attack, or other form of loss or devaluation caused by third-party conduct.

13.4. You are solely responsible for the use of the LayerK Chain, its associated technologies and the Services.

  1. LIMITATION OF LIABILITY

14.1 In no event shall LayerK or any Contributor be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Work, even if such Contributor has been advised of the possibility of such damages.

14.2 LayerK is not responsible for any losses related to blockchain forks, smart contract vulnerabilities, or market fluctuations associated with digital assets.

  1. PRIVACY

15.1. All transactions on the blockchain are public and immutable. Users should avoid including sensitive personal information in blockchain transactions.

15.2 LayerK does not have control over the blockchain's public ledger and cannot alter or delete any data that has been recorded.

  1. FORCE MAJEURE

We shall not be liable for delays, failure in performance or interruption of service which result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to, significant market volatility, act of God, act of civil or military authorities, act of terrorists, civil disturbance, war, strike or other labor dispute, fire, interruption in telecommunications or Internet services or network provider services, failure of equipment and/or software, pandemic, other catastrophe or any other occurrence which is beyond our reasonable control and shall not affect the validity and enforceability of any remaining provisions.

  1. JURISDICTION AND GOVERNING LAW

17.1. These Terms are governed by the laws of the British Virgin Islands (BVI), without regard to conflict of law principles.

17.2. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands.

  1. CHANGES TO TERMS

We reserve the right, in our sole discretion, to change these Terms at any time and your continued use of the Services after the date any such changes become effective constitutes your acceptance of the new Terms. You should periodically visit this page to review the current Terms so you are aware of any revisions. If you do not agree to abide by these or any future Terms, you are not permitted to access, browse, or use (or continue to access, browse, or use) the LayerK Chain and the Services.

  1. TERMINATION

19.1 You may terminate your use of the LayerK Chain at any time by ceasing to use and distribute the Work.

19.2 The rights granted under this License will terminate if you fail to comply with its terms, and upon termination, you must immediately cease all use and distribution of the Work.

  1. INDEMNIFICATION

To the fullest extent permitted by applicable laws, you will indemnify and hold the LayerK Entities harmless from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with (a) your access to or use of the LayerK Chain and the Services, (b) your violation of these Terms, or (c) your negligence or willful misconduct. If you are obligated to indemnify any LayerK Entity hereunder, then you agree that LayerK (or, at its discretion, the applicable LayerK Entity) will have the right, in its sole discretion, to control any action or proceeding and to determine whether LayerK wishes to settle, and if so, on what terms, and you agree to fully cooperate with LayerK in the defense or settlement of such claim.
