# LayerK DAO Terms & Conditions

## 1. Acceptance of Terms

By accessing or interacting with the LayerK DAO smart contracts, website, interfaces, or governance systems (collectively, the “**Services**”), whether through the Homnifi platform or otherwise, you (“**User**”, “**you**”, “**your**”) confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions (“**Terms**”). If you do not agree to these Terms, do not use the Services.

## 2. Nature of the LayerK DAO

2.1. LayerK DAO is a decentralized autonomous organization that governs the LayerK protocol through a stake‑weighted voting mechanism, using the native governance token “**GLYK**”. LayerK DAO is not a legal entity and does not constitute a partnership, joint venture, or agency.

2.2. All decisions are made collectively by GLYK token holders. No central authority, legal entity, or individual has the unilateral right to dictate governance outcomes. All decisions regarding governance matters must be approved by the DAO community through proposals and on-chain voting.

2.3. Governance functions include treasury management, protocol‑level decisions, and parameter configuration. All governance logic is executed transparently via smart contracts deployed on public blockchains.

2.4. Governance power within the LayerK DAO resides exclusively with the community of GLYK holders, in accordance with the principles of transparency, peer-based consensus, and decentralization.

## 3. Governance Moderation Committee (GMC)

3.1. A Governance Moderation Committee (“**GMC**”) is established as a lightweight, pre‑submission review layer for governance proposals. The GMC’s sole function is to ensure that proposals meet basic eligibility and content standards before they are permanently recorded on‑chain. The GMC does not evaluate the political, economic, or strategic merits of any proposal and has no authority over on‑chain voting or execution.

3.2. The GMC consists of a certain number of top GLYK‑holding wallets, determined at each governance snapshot in accordance with the DAO’s publicly available governance rules. The number of GMC members and the snapshot methodology may be updated from time to time through DAO governance.

3.3. The GMC’s authority is strictly limited to pre‑submission review. The GMC has no power to modify, approve, reject, delay, or influence any proposal after it has been written to the blockchain. The GMC has no role in the execution of approved proposals, which is performed exclusively by the DAO smart contracts.

## 4. Governance Token (GLYK)

4.1. Issuance: GLYK is minted through participation in designated LayerK programs, based on the amount of LYK tokens staked. Voting power is proportional to GLYK (1 GLYK = 1 vote).

4.2. Burn Mechanism: upon unstaking of LYK, an equivalent amount of GLYK is automatically burned, reducing governance power.

4.3. Utility: GLYK is designed and intended to function solely as a governance and utility token, conferring governance participation rights only. GLYK does not represent, and is not intended to represent, any ownership interest, equity, shares, security, profit-sharing right, revenue share, right to dividends or distribution, or any similar interest in LayerK or any affiliate, any protocol contributor, or any other person or entity. GLYK is not redeemable or exchangeable for any guaranteed amount of money, goods, or services, and is not intended to provide any expectation of profit, yield, or capital appreciation.&#x20;

4.4. Regulatory status: GLYK is issued and made available on the basis that it is a governance and utility token and is not designed or intended to be a financial product, security, tokenized asset, or any other regulated instrument. However, regulatory treatment of digital assets varies across jurisdictions and may change over time. Neither LayerK nor any other Covered Person gives any assurance or guarantee as to how GLYK or participation in the LayerK DAO will be classified under any particular legal or regulatory regime. You are solely responsible for determining how GLYK and your participation in the LayerK DAO are treated under laws and regulations applicable to you, including any securities, financial services, tax, and exchange control laws, and for complying with all such requirements.&#x20;

## 5. Governance Participation

**5.1. Proposal Creation**

5.1.1. Eligible GLYK holders may submit governance proposals and vote, subject to configurable thresholds/parameters.

5.1.2. Each proposal must include a title, detailed description, voting duration, and IPFS CID (content identifier) for off-chain metadata (if applicable).

5.1.3. Proposal metadata is stored off‑chain (IPFS) and referenced on‑chain.

**5.2. Moderation by GMC**

5.2.1. When a user submits a proposal, it enters a moderation queue and is not immediately written to the blockchain.

5.2.2. Any one GMC member may review the proposal and either approve or reject it. A single member’s decision is sufficient and final for the purposes of pre‑submission review.

5.2.3. The GMC has seventy‑two (72) hours from the time of submission to issue a decision. If no decision is made within this period, the proposal is automatically approved and proceeds to on‑chain submission for voting.

5.2.4. If a proposal is rejected, the proposer will be notified of the specific ground for rejection. The proposer may revise and resubmit the proposal at any time.

5.2.5. Permissible rejection grounds include:

5.2.5.1. Personal Identification – The proposal names or targets a specific individual or wallet address in a defamatory, harassing, or shaming manner.

5.2.5.2. Illegal Content – The proposal contains content that is illegal under widely applicable law, including threats of violence, doxxing, or incitement to hatred.

5.2.5.3. Off‑Protocol – The proposal has no conceivable relevance to the LayerK protocol, GLYK tokenomics, ecosystem governance, or treasury.

5.2.5.4. Duplicate Submission – An identical or substantively identical proposal is already active or was resolved within the last sixty (60) days.

5.2.5.5. Incoherent Submission – The proposal is entirely blank, consists only of symbols, or is clearly automated spam.

No other basis for rejection is permitted.

**5.3. Voting**

5.3.1. Votes are weighed by GLYK holdings and must satisfy quorum/approval criteria to pass.

5.3.2. All numerical minimums and time periods are configurable and may change without notice.

**5.4. Execution**

5.4.1. Execution is conducted through the DAO smart contract and updates proposal status to “Executed” or an equivalent on-chain status.

5.4.2. Actions (e.g., treasury withdrawals, parameter changes, contract upgrades, and other governance-related operations) become effective only upon execution of a successful proposal  through the applicable DAO smart contract.&#x20;

**5.5. On-Chain Precedence and Governance Finality:**

5.5.1. The LayerK DAO operates through blockchain‑based smart contracts and decentralized governance mechanisms. Certain governance actions, including proposal submission, voting, and execution of outcomes, occur autonomously on‑chain without human intervention.

5.5.2. To the maximum extent permitted by applicable law, governance actions validly executed through the relevant smart contracts in accordance with the DAO’s governance rules are treated as final and deterministically reflected on‑chain. Any subsequent changes or reversals generally require further on‑chain actions in accordance with those governance rules and cannot be achieved solely by off‑chain communications or agreements.

5.5.3. In the event of any inconsistency or conflict between (a) the state or outcomes recorded on‑chain by the relevant smart contracts and (b) any off‑chain information (including user interfaces, documentation, forum posts, or other communications), the on‑chain records and outcomes shall, to the maximum extent permitted by applicable law, prevail.

5.5.4. You acknowledge that blockchain‑based transactions and governance actions may be irreversible and that technical errors, exploits, or protocol failures may occur. You participate in DAO governance and interact with smart contracts at your own risk, subject always to any non‑waivable rights you may have under applicable law.

## 6.Access Requirements

6.1. Platform Access: governance functionality is accessible via the Homnifi platform.

6.2. Wallet Connectivity: Users must connect the same MetaMask wallet that is linked to their Homnifi account in order to access their GLYK balances and participate in LayerK DAO activities.

6.3. Self-Custody: Users are solely responsible for safeguarding their MetaMask wallet, private keys, and recovery phrases. Loss of access to the wallet results in permanent loss of associated GLYK and participation rights. Neither LayerK DAO nor Homnifi are responsible for or can recover lost credentials. LayerK DAO does not ever have custody, possession, or control of your digital assets at any time. It further means you are solely responsible for the custody of the cryptographic private keys to the digital asset wallets you hold, and you should never share your wallet credentials or recovery phrase with anyone.

6.4. Users confirm they are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive sanctions or embargoes, and that you are not a person or entity subject to sanctions administered by the United States, the United Kingdom, the European Union, the United Nations, or other applicable authorities. You are solely responsible for complying with all applicable sanctions and export control laws.

## 7. User Obligations and Responsibilities

7.1. Users are solely responsible for:

(a) understanding the structure and functionality of the LayerK DAO and its smart contract functions;

(b) securing their wallets/private keys;

(c) independently reviewing all proposals and their content before voting; and

(d) complying with all applicable laws and regulations (including those relating to taxation, anti-money laundering (AML), sanctions, and securities regulations) in their jurisdiction.

7.2. You hereby represent and warrant that you are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in these Terms and to abide by and comply with these Terms. You are also representing and warranting that you are of the legal age of majority in your jurisdiction as is required to access and use the Services.

## 8. Content Standards

8.1. Users shall not:

8.1.1. submit content to the forum that is illegal, offensive, or otherwise harmful to others. This includes content that is harassing, inappropriate, or abusive;

8.1.2. submit content to the forum that violates the law, infringes anyone’s intellectual property rights, violates anyone’s privacy, or breaches agreements you have with others;

8.1.3. submit content to the forum containing malicious computer code, such as computer viruses or spyware;

8.1.4. use the forum to disclose information that you don’t have the right to disclose, like others’ confidential or personal information;

8.1.5. send, knowingly receive, upload, download, use or re-use any material which does not comply with these Terms;

8.1.6. impersonate or attempt to impersonate the LayerK DAO, another user or any other person or entity;

8.1.7. engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm the LayerK DAO or users of the Services or expose them to liability.

8.2. The operator(s) of the interface(s) may remove, restrict, or moderate content that violates these Terms or applicable laws, including to reduce legal, security, or operational risk. The availability of content in any interface is not guaranteed.

## 9. No Professional Advice

9.1. All information available through the Services (including discussions, proposals, and forum content) is provided “as is” for general information only and does not constitute legal, financial, investment, or tax advice. You should consult with your own professional advisors.

9.2. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the Services, or by anyone who may be informed of any of its contents.

9.3. All such information provided is for informational purposes only and should not be construed as investment advice or a recommendation that a particular token is a safe or sound investment. You should not take, or refrain from taking, any action based on any information contained in any of our products. By providing token information for your convenience, we do not make any investment recommendations to you or opine on the merits of any transaction or opportunity.

9.4. The Services may include content provided by third parties, or links to such content. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the LayerK DAO, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the LayerK DAO. LayerK DAO is not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.

## 10. Risks

10.1. Participation in LayerK DAO involves inherent risks, including but not limited to:

10.1.1. smart contract vulnerabilities;

10.1.2 governance attacks and manipulation;

10.1.3. wallet compromise or private keys loss;

10.1.4. market volatility;

10.1.5. legal or regulatory changes,

10.1.6. protocol errors, exploits, bugs, or downtime; and

10.1.7. permanent loss of tokens or associated value.

10.2. You understand and voluntarily accept all risks associated with the use of LayerK DAO and decentralized protocols in general.

## 11. No Warranties

11.1. The Services (including all smart contracts, interfaces, code, documentation, upgrades, data, third‑party integrations, and content) are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, security, accuracy, or non‑infringement.

11.2. The LayerK DAO does not control or guarantee and is not responsible for the performance or security of third-party software, blockchains, nodes, wallets, IPFS gateways, RPC providers, or other third‑party services, and assumes no liability for their failures or acts.

## 12. Limitation of Liability

12.1. To the maximum extent permitted by any applicable law, in no event shall the LayerK DAO, any affiliate, contributor, developer, operator, token holder, service provider, or agent (collectively, “Covered Persons”) be liable for any claim, loss, damage, cost, expense, or liability of any kind or nature whatsoever, whether direct, indirect, special, incidental, consequential, exemplary, punitive, or otherwise (including loss of use, profits, data, goodwill, or opportunity), arising out of or in connection with the Services or these Terms, under any theory of liability (contract, tort, strict liability, or otherwise), even if advised of the possibility of such damages. All use of the Services is at your sole risk.

12.2. You agree that, to the maximum extent permitted by applicable law, the total aggregate liability of the Covered Persons for all claims arising out of or relating to the Services or these Terms will be limited to the lowest amount permitted by applicable law.

12.3. Nothing in these Terms shall exclude or limit any liability that cannot be excluded or limited under applicable law.

## 13. Indemnification

13.1. You agree to indemnify, defend, and hold harmless all the Covered Persons from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including attorneys’ fees) arising out of or relating to:

13.1.1. your use or misuse of the Services;

13.1.2. your violation of these Terms; or

13.1.3. your violation of any applicable law or third‑party right.

## 14.No Fiduciary Relationship

Your participation in the LayerK DAO does not create a fiduciary, agency or partnership relationship between you and any other participant, developer, or contributor. All rights and responsibilities are limited to those expressly set forth in these Terms.

## 15. Intellectual Property

Except for open‑source components licensed under their respective open-source licenses, all trademarks, logos, branding, interfaces and proprietary content associated with the LayerK DAO remain the intellectual property of their respective owners. No license is granted to Users except for lawful access to the Services. Users must not use such intellectual property without the prior written permission of the LayerK DAO.

## 16.Regulatory Disclosures

GLYK is intended solely as a governance token. No representations or warranties are made concerning the legality of GLYK or participation in the LayerK DAO under the laws of any jurisdiction. Access may be restricted to certain regions (including sanctioned countries). You participate in LayerK DAO in your own initiative and you are responsible for determining whether your participation is lawful and compliant.

## 17. Tax Obligations

You are solely responsible for calculating, reporting, and remitting any taxes that apply to your activities, including the receipt, staking, burning, minting, or transferring of LYK or GLYK tokens.

## 18. Amendments and Upgrades

18.1. These Terms may be updated from time to time. Updated versions will be made available through the Services or otherwise published. Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms. You are responsible for reviewing the Terms periodically.\
Updates will be posted publicly and continued use of the Services after an update constitutes acceptance.&#x20;

18.2. Governance parameters may be changed through DAO proposals and their on-chain execution.

## 19.Suspension and Termination

Access to LayerK DAO interfaces may be suspended, restricted, or terminated without prior notice for operational, legal, or security reasons. However, the underlying smart contracts deployed by the LayerK DAO are autonomous and may continue to operate independently on-chain.

## 20. Force Majeure

20.1. The LayerK DAO shall not be liable for any delay, failure in performance, or interruption of the Services, or for any inaccuracy, error, loss, or damage resulting therefrom, if such delay, failure, or interruption arises from or is attributable to any cause or condition beyond the reasonable control of the LayerK DAO, including but not limited to:

20.1.1. acts of God, natural disasters, epidemics or pandemics, acts of civil or military authorities, civil disturbance, war, terrorism, labor disputes, strikes, fires, floods, or other catastrophes.

20.1.2. interruptions or failures in telecommunications, internet services, utility services, or third-party infrastructure providers;

20.1.3. failures of hardware, software, data storage, smart contracts, blockchain networks, or other systems critical to the functionality of the Services;

20.1.4. material changes in any blockchain protocol (including forks, network splits, or deprecations);

20.1.5. network congestion, consensus failures, validator or miner outages, or other failures of the underlying blockchain infrastructure;

20.1.6. cryptographic attacks (including but not limited to 51% attacks, double-spend attacks, sybil attacks, front-running, or other protocol-level exploits);

20.1.7. severe volatility in digital asset markets or de-pegging of tokenized assets; and

20.1.8. regulatory actions, enforcement proceedings, court orders, sanctions, or changes in applicable laws or regulations that materially affect the DAO’s operations, governance, or smart contract execution.

## 21. General Provisions

21.1. Governing law: These Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws of the British Virgin Islands without regard to conflict of law principles.&#x20;

21.2. Dispute resolution: The courts of the British Virgin Islands shall have exclusive jurisdiction to hear and adjudicate any dispute, controversy, or claim arising out of or in connection with these Terms. To the extent permitted by applicable law, Users and any relevant Covered Person hereby irrevocably submits to the jurisdiction of the court of the British Virgin Islands in respect of any such dispute.

To the maximum extent permitted by applicable law, you agree that any dispute, controversy or claim arising out of or relating to these Terms or your participation in the LayerK DAO shall be brought and resolved solely on an individual basis. You hereby irrevocably waive any right to participate in or bring a class action, class arbitration, collective action, or any other representative proceeding.

21.3. Severability: if any provision of these Terms is held  to be invalid or unenforceable, the remaining provisions will remain in full force.

21.4. No Waiver: a failure to enforce any right or provision does not constitute a waiver of that right or provision.

21.5. Entire Agreement: these Terms constitute the entire agreement between you and the LayerK DAO regarding the Services and supersede all prior or contemporaneous understandings or agreements.
